A standard review will be similar to a typical due diligence inquiry that is performed as part of a sale of business transaction and will include the following:

  • A review of nonqualified deferred compensation arrangements for compliance with Sections 409A and, as applicable, 457(f) of the Internal Revenue Code
  • A review of equity-based compensation arrangements for compliance with applicable tax requirements
  • A review of employment agreements and severance benefit agreements
  • A review of the above items for compliance with FICA tax requirements
  • A review of the items above for compliance with ERISA’s limited reporting requirement for “top hat” plans, as applicable
