Kevin Moran is an experienced and effective business attorney and advisor, representing franchisors and product manufacturers in regulatory compliance, transactional matters, and general business matters. He combines a sophisticated understanding of complex legal issues and risks facing franchise companies and product manufacturers, with a practical and pro-business approach to legal advice. He regularly works with franchise systems of varying sizes, from emerging to mature systems, on matters such as FDDs, registration and exemption, franchise disclosure, negotiation of franchise agreements and area development agreements, international expansion, and franchisee defaults, terminations and relationship issues. Kevin also has expertise and experience with trademark selection and enforcement, non-franchise dealership programs, franchise and distribution system mergers and acquisitions, retail distribution, and franchise litigation.
Kevin works with product manufacturers and distributors on matters such as distribution agreements, sales representative agreements, avoidance of franchise laws, terms and conditions of sale, private label agreements, dealership defaults and termination, international distribution and other matters.
Before turning to transactional and regulatory matters, Kevin was a litigator for several years, and has background in franchise litigation, arbitration, complex commercial litigation, and trademark litigation.
