Electric Lightwave

Electric Lightwave, formerly known as Integra Telecom, provides infrastructure and telecom services within the Western United States, including 8,100 miles of long haul fiber and 4,000 miles of metro fiber in Washington, Oregon, California, Idaho, and Utah. When Electric Lightwave received an unsolicited offer from a prospective buyer, Zayo Group Holdings, Inc., in early November 2016, it faced a daunting task. Zayo required an answer to the offer within a month, which meant a compressed timeline for Electric Lightwave and its counsel to conduct the necessary due diligence on the proposal, negotiate the merger agreement and other documents, and complete the necessary disclosure schedules.

Thankfully, Electric Lightwave’s attorneys at Gray Plant Mooty were well equipped to assist, putting more than 40 attorneys and paralegals to work in reviewing the documents and preparing the disclosure schedules in a systematic and cost-effective manner. Electric Lightwave valued the depth of legal expertise at Gray Plant Mooty that allowed for such a rapid mobilization, matched by the administrative support to help coordinate such an extensive undertaking.

With the month-long review concluded, Electric Lightwave’s leadership had the information they needed to approve the acquisition. Electric Lightwave’s shareholders were pleased with the favorable terms of the acquisition. At the same time, the deal allowed Zayo to expand the reach of its coverage and the range of services it provides to consumers. Even under time constraints, the quick mobilization and informed counsel of the Gray Plant Mooty team proved decisive in shepherding the deal to a mutually satisfactory closing on March 1, 2017.
