Anderson, JC

J.C. is a principal at Gray Plant Mooty and focuses in the areas of business and securities law. His practice includes advising companies and their boards on all types of business law matters, including mergers and acquisitions, shareholder agreements, special committee duties and executive compensation. In the securities area, he advises public companies on complying with state and federal securities laws, including the Sarbanes-Oxley Act, and with the rules of the various exchanges and automatic quotation systems. He works with both public and private companies on all types of financing transactions from private offerings and venture financings to public offerings. J.C. utilizes his many years of legal experience to provide practical, cost-effective advice on navigating the complex regulatory environment. J.C. is cochair of the firm’s Business Advisory practice group.

Experience

  • Represented National American University Holdings, Inc. in connection with a $60 million underwritten public offering
  • Representing public companies in ongoing compliance with securities regulations, including Sarbanes-Oxley compliance issues
  • Negotiated on behalf of a start-up company the terms of the secured financing and equity investment from a large national insurance company
  • Assisted a home furnishings manufacturer with its initial public offering
  • Counseled the board of a company on rejecting an unsolicited take-over offer
  • Advised an ESOP on the corporate and securities issues involved with a leverage buy-out of sponsoring company
  • Represented various medical products companies in financing transactions
  • Counsels various publicly held companies on the legal issues involved with establishing and maintaining equity compensation plans
  • Advised a local frozen-food company on its finance transaction with a consortium of national venture capitalists
  • Represents the operator of a 11.5 MW biomass facility
  • Represents a private equity firm in connection with financings, acquisitions and divestitures
  • Represented the public company when Nature Vision, Inc. went public by means of a reverse merger.
  • Assisted a national health care organization with a joint venture arrangement with an internet company.
  • Represents a startup natural ingredients company with its formation and its private placement through a local broker dealer.
