  • Represented a privately-held manufacturing company in its sale by auction to a publicly-held company
  • Represented a publicly-held software company in its acquisition by stock purchase of a privately-held software company
  • Represented a privately-held retail company in the sale of several rounds of its preferred stock to venture capital investment firms and affiliated parties
  • Represented a publicly-held furniture manufacturing company in connection with its distribution and services agreement with a European-based, publicly-held furniture manufacturing company
  • Represented a national franchise company in connection with various asset-backed, debt-finance transactions
  • Represented a private equity fund in connection with its investment in the convertible debentures of a privately-held manufacturing company
  • Represented a privately-held product distribution company in its corporate restructuring initiative

Energy

  • Represented a biomass energy facility in its contractual negotiations, including with respect to a renewable energy purchase agreement, a verified emissions reduction purchase agreement, various biomass supply agreements and other matters.
  • Representation of a private equity fund in its acquisition and post-closing contract negotiations with respect to municipal waste processing facilities and “refuse derived fuel,” plants and related assets.
