Barry is a principal at Gray Plant Mooty and a member of the Business Advisory Group. He practices in the areas of mergers and acquisitions, tax law, and closely-held businesses.
Barry has worked extensively with corporate, partnership, and individual clients to achieve their business goals in the most tax-efficient means possible. He is also a frequent lecturer at seminars on corporate and tax issues.
Barry has also represented closely-held companies in shareholder disputes and in dealings with minority shareholders implementing strategies such as redemptions and tax-free divisions to facilitate a creative resolution.
Experience
- Assisted public and private companies in restructurings, recapitalizations, redemptions, mergers, acquisitions, and divestitures
- Acted as lead counsel and/or tax counsel on transactions ranging from hundreds of thousands to hundreds of millions of dollars
- Assisted family-owned investment partnerships with a range of issues including organization, investment of assets, redemptions, dissolutions, and tax issues
- Represented investors and issuers in private placements of debt and equity securities
- Assisted companies and shareholders in shareholder dispute situations, resulting in redemptions, split-ups and other negotiated solutions
- Represented manufacturers and sales representatives in connection with relationship formation, contracts, terminations, and disputes
- Represented taxpayers in audit, appeal, and tax controversy situations at the federal and state levels
