Doug is a principal at Gray Plant Mooty. He represents start-up and emerging companies in organizational, venture finance, private and public offering, SEC compliance and contractual matters. He his Co-Chair of the firm's Entrepreneurial Services Group.
Doug's clients operate in a variety of industries including medical device, software, hardware, biosciences and manufacturing. Doug has served as a director or officer of numerous early stage ventures. He routinely works closely with management on corporate financing and strategic issues and often assists growing companies identify financing sources and management team members. He also represents securities firms and investors in financing transactions.
Doug is an advisor to the Center for Entrepreneurial Studies at the University of Minnesota's Carlson School of Management. He is also a member of and an advisor to the Irish Angels, an angel investor network that assists the Center for Entrepreneurship at the University of Notre Dame.
Doug received his bachelor’s degree from the University of Notre Dame, magna cum laude, majoring in finance/business economics, and his law degree from the UCLA School of Law. He practiced law for several years in San Francisco, California, where he represented high technology and other privately- and publicly-held companies. He has practiced law in Minneapolis, Minnesota, since 1994.
EXPERIENCE - Business Formation: Advises entrepreneurs about forming and capitalizing start-up companies. Counsels businesses about structuring, funding and operating new business organizations.
- Venture Finance: Counsels businesses, investors and investment banks in connection with financing growing companies, including angel, venture capital and other private debt and equity placements, as well as public offerings.
- Securities Law: Assists with regulatory compliance and filings at the federal and state levels for publicly- and privately-held companies. Represents businesses and individuals in various securities law matters including public disclosures.
- Business Governance and Operation: Serves as outside general counsel to businesses with an emphasis on organization, finance and governance matters.
- Contracts: Negotiates and drafts various contracts including licensing and employment agreements.
